Welcome to Can’t be Late (“we,” “our,” “us”). By downloading, accessing, or using our mobile application or related services (collectively, the “Service”), you (“you,” “your,” “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. You are responsible for: - Maintaining the confidentiality of your account credentials. - All activity that occurs under your account. You must promptly notify us of any unauthorized use.

2. License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes, subject to these Terms. You agree not to: - Use the Service for any unlawful purpose or in violation of any applicable laws or regulations. - Attempt to interfere with, disrupt, or compromise the integrity or performance of the Service. - Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service.

3. Location Data, Notifications & Estimates

The Service may access and process your device location to send “time to leave” notifications and provide estimated travel times. You acknowledge and agree that: - All notifications and travel estimates are provided on a best-effort basis and may not be accurate. - We are not responsible for missed events, delays, or any consequences arising from reliance on these features.

4. Intellectual Property

All content, trademarks, service marks, trade names, logos, and other intellectual property related to the Service are owned by Can’t be Late or our licensors and are protected by applicable intellectual property laws. You may not use our intellectual property without prior written permission.

5. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and safeguard your information.

6. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

7. Limitation of Liability

To the maximum extent permitted by law, Can’t be Late and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, even if advised of the possibility of such damages. Our total liability for all claims arising from or related to the Service shall not exceed the amount you paid to us, if any, in the 12 months preceding the claim.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

We may modify these Terms at any time. Updated Terms will be posted within the Service and will indicate the “Last Updated” date. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed under the laws of Alberta, Canada, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Alberta, Canada.
